Peak Beak Monthly Website Service Agreement
This agreement is between Peak Beak LLC (“Peak Beak”) and the customer identified in this form (“Client”). It becomes effective when Client accepts these terms and completes the first monthly payment.
1. Services and price
Peak Beak will design, build, launch, host, and routinely maintain the website package selected above. The selected monthly price is due today and monthly thereafter. Work outside the selected plan’s published scope will be quoted separately before work begins.
2. Initial term and renewal
The initial service term is 24 months. After that term, service continues month-to-month until either party gives 30 days’ written notice. The monthly plan is a service arrangement and is not rent-to-own. After the initial term, Peak Beak may make reasonable price adjustments to cover increased operating or third-party costs with at least 30 days’ advance notice.
3. Client responsibilities and delays
Client will provide accurate information, approvals, photos, credentials, and requested materials promptly; confirm supplied materials may lawfully be used; and submit consolidated feedback within seven business days. Project schedules move by the length of Client-caused delays. After 30 days without required items or a response, Peak Beak may pause the project as dormant and require a reasonable reactivation fee or payment of amounts then due before resuming.
4. Revisions, maintenance, and schedule
The plan includes its published scope and routine changes. Included maintenance means minor changes to existing pages or features, such as name, photo, and text corrections. Major redesigns, new pages or features, integrations, ecommerce, and other work beyond scope require a separate quote. Timing begins after Peak Beak receives the information and access needed to start.
5. Ownership and portfolio use
Peak Beak retains ownership of custom design, code, layouts, written content created by Peak Beak, configurations, and related work produced under a monthly plan. Client retains ownership of its pre-existing name, logo, photos, and supplied materials. Peak Beak may display completed work in its portfolio.
6. Payment and suspension
Stripe processes recurring payments. Failed or overdue payments may pause work, updates, or hosting after reasonable notice. Client remains responsible for amounts owed under the agreement and approved out-of-scope work.
7. Third parties, security, results, and force majeure
Peak Beak uses professional practices and installs appropriate vendor security updates when reasonably available, but the monthly plan does not include continuous security monitoring unless separately stated. Peak Beak cannot guarantee uninterrupted service, specific rankings, lead volume, or freedom from every security issue, and is not responsible for incidents, outages, third-party failures, or events beyond its reasonable control.
8. Termination and liability
Peak Beak may terminate for nonpayment, unlawful use, abuse, or material breach. Client may end service after the initial term with 30 days’ written notice. To the fullest extent permitted by law, Peak Beak’s aggregate liability under this agreement will not exceed fees Client paid under it during the preceding three months.
9. General terms
Ohio law governs this agreement. If one provision is unenforceable, the remaining provisions continue. Electronic acceptance and records have the same effect as paper signatures. This agreement, the selected plan, and any written approved addenda form the entire agreement.
10. Optional Rapid Launch
Rapid Launch is subject to Peak Beak’s written confirmation of availability. If accepted, Peak Beak sends a separate, non-recurring rush invoice equal to one monthly plan payment, with a $249 minimum. No rush commitment exists until that invoice is paid. Peak Beak then targets public launch within 10 business days after the later of payment or receipt of all required content, credentials, and approvals. Client must respond within one business day. Client-caused delays, added scope, third-party delays, and force majeure move the target and do not reduce the rush fee or other amounts due. If Peak Beak alone misses the agreed target, Peak Beak refunds or credits the rush fee; the underlying monthly agreement remains in effect.
